Terms of Service for TrustClub.tv

Effective Date: June 30, 2025


1. Acceptance of Terms

By accessing or using TrustClub.tv (the “Site”) you agree to be bound by these Terms of Service (the “Terms”). If you do not accept every provision, do not use the Site. The Site is owned and operated by Privagen Canada Inc., dba Trustable.tv (“we,” “us,” or “TrustClub”), a British Columbia corporation.

2. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively as set out in Section 13.

3. Eligibility

The Site is offered only to natural persons who are at least eighteen (18) years old. Accounts are issued to individuals, not to enterprises or commercial entities. Commercial or enterprise use requires a separate written licence from Trustable.tv.

4. Description of Services

The Site provides open and subscriber-only access to essays, opinions, analyses, workpapers, decks, templates, runbooks, playbooks, strategies, podcasts, courses, live and recorded classes, forums, private community spaces, and in-person events (collectively, the “Services”). Certain features are available only to paying subscribers whose fees are current.

5. Licence to Individual Users

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for your personal leadership or operational practice. You may not:

  • copy, reproduce, modify, publish, upload, transmit, sell, resell, distribute, create derivative works from, or exploit any part of the Services for commercial purposes;

  • share subscriber-only content with any third party;

  • remove notices of copyright or other proprietary rights.

6. Intellectual Property

All content on the Site is copyrighted or otherwise protected, and all rights are reserved. Guest contributors irrevocably assign to TrustClub.tv all right, title, and interest in and to their contributions upon submission. Short quotations (under 250 words) may be used publicly if accompanied by clear attribution and a live link to the relevant TrustClub.tv page.

7. User-Generated Content

Only paying subscribers may post comments, upload files, or participate in community spaces (“User Content”). By posting User Content you grant TrustClub.tv a worldwide, perpetual, royalty-free licence to host, display, reproduce, adapt, and moderate that content. You warrant that your User Content is lawful, non-defamatory, non-infringing, and presented in good faith. We may remove any User Content or suspend any account at our sole discretion and without notice.

8. Payments, Renewals, and Refunds

Subscription fees are charged in United States dollars via Stripe through Substack. Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time; upon cancellation we will refund the unused portion of the current period on a pro-rated basis. Access to subscriber-only content ends when the subscription lapses or is terminated.

9. Prohibited Conduct

You must not:

  • violate these Terms, applicable law, or third-party rights;

  • misuse or attempt to gain unauthorised access to the Site;

  • engage in behaviour that disrupts or diminishes the community;

  • misattribute or misappropriate TrustClub.tv content;

  • circumvent technical measures we may employ now or in the future to protect subscriber content.

10. Termination

We may suspend or terminate your access without notice for non-payment, breach of these Terms, abusive behaviour, confidentiality breach, or other misuse. Upon termination the licence in Section 5 ends immediately. We may, but are not obliged to, implement digital rights management or other technical controls in the future.

11. No Professional Advice

Content is provided solely for educational and informational purposes. Nothing on the Site constitutes legal, financial, investment, or professional advice, nor does it create a fiduciary or advisory relationship.

12. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Services shall not exceed the subscription fees you paid to us in the twelve (12) months preceding the event giving rise to liability.

13. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute shall be submitted to binding arbitration in Vancouver, British Columbia, before a single arbitrator selected by TrustClub.tv. The arbitration shall be conducted under the Arbitration Act (BC) and its rules. You waive any right to participate in a class, collective, or representative action, and you waive trial by jury.

14. Modifications to Terms

We may modify these Terms at any time by posting the revised version on the Site. Changes are effective immediately upon posting. Your continued use of the Services after a change constitutes acceptance of the modified Terms. You are responsible for reviewing the Terms periodically.

15. Miscellaneous

If any provision is found unenforceable, the remainder shall remain in full force. Our failure to enforce any right is not a waiver. These Terms constitute the entire agreement between you and TrustClub.tv regarding the Services and supersede all prior or contemporaneous communications. You may not assign your rights or obligations without our prior written consent; we may assign ours at any time.
